Coaching Terms

Enrollment in any National Excess Proceeds Exchange ("NEPEX," "we," "us," or "our") coaching or training program requires submission of a completed application and acceptance by NEPEX. Submission of an application does not guarantee acceptance into any program. NEPEX reserves the right to accept or decline any applicant in its sole discretion.

Factors considered in the application review may include:

• Your professional background and experience
• Your goals and objectives for the program
• Your understanding of the educational nature of the program
• Your commitment to compliance with applicable laws
• Program capacity and availability

By submitting an application, you represent that all information you provide is true, accurate, and complete. Providing false or misleading information may result in rejection of your application or termination of your enrollment.

NEPEX coaching and training programs are designed to provide educational instruction on topics related to excess proceeds, surplus funds, and related areas. Program content may include:

• Understanding excess proceeds, surplus funds, and overages
• Research methods and public records review
• Documentation and organization
• Educational outreach and communication practices
• Professional referral coordination
• Consumer protection standards
• State and county variations
• Business operations and management

Program content, format, schedule, and instructors are subject to change. NEPEX reserves the right to modify program elements to improve the educational experience. Material changes will be communicated to enrolled students.

The specific scope, duration, format, and deliverables of each program will be described in the program enrollment agreement. Nothing in these general Coaching Terms creates a right to any specific program feature or format.

Program fees are communicated during the enrollment process and specified in the enrollment agreement. All fees are in U.S. dollars. Payment terms may include:

• Full payment: The entire program fee paid at the time of enrollment
• Installment payments: The program fee divided into multiple payments over a specified period, if offered for the particular program

If a payment plan is offered, terms will be described in the enrollment agreement. Installment payments authorize NEPEX to charge the payment method on file according to the agreed schedule. Late or missed payments may result in suspension of program access until the account is brought current.

All fees are non-refundable except as expressly provided in our refund policy or the enrollment agreement. Chargebacks initiated without first contacting NEPEX to resolve the issue may result in immediate termination of enrollment.

Refund terms for each program are specified in the enrollment agreement. Students should review and understand the refund policy before enrolling. Key points regarding refunds include:

• Refund eligibility periods (if any) are measured from the program start date or the date of enrollment, as specified in the enrollment agreement
• Refund requests must be submitted in writing to the address or email specified in the enrollment agreement
• Partial completion of program materials, attendance at coaching sessions, or access to program resources may affect refund eligibility
• NEPEX reserves the right to decline refund requests that do not meet the criteria established in the enrollment agreement

We encourage prospective students to ask questions before enrolling and to review all program materials and terms carefully. If you have concerns about whether a program is right for you, we are happy to discuss your goals and the program's suitability before you commit.

Students enrolled in NEPEX coaching and training programs are expected to:

• Attend scheduled sessions. Participate actively in scheduled coaching calls, workshops, or training sessions. Repeated absences may affect your progress and, in some programs, your continued enrollment.
• Complete assigned work. Complete reading, research, exercises, and other assignments between sessions. Progress depends significantly on the effort you invest between formal sessions.
• Follow compliance requirements. Understand and comply with all applicable federal, state, and local laws, including laws governing the practice of law, debt collection, consumer protection, referral fees, and business operations.
• Use approved communication standards. When communicating with claimants, county offices, referral partners, or the public, use professional, accurate, and compliant language. Do not make guarantees, promises, or representations you cannot support.
• Maintain professional standards. Conduct yourself professionally and ethically in all program-related activities. Do not engage in conduct that could harm claimants, partners, or the reputation of NEPEX.
• Protect confidential information. Respect the privacy of claimants, clients, and partners. Do not share or disclose personal information without proper authorization.

Failure to meet these responsibilities may result in additional coaching, probation, or termination of enrollment, as determined by NEPEX in its discretion.

NEPEX coaching and training programs teach business operations, research methods, documentation practices, educational outreach, and referral coordination. They do not teach law, do not constitute legal training, and do not qualify any student to practice law or provide legal services.

Specifically:

• NEPEX coaching does not authorize you to provide legal advice, draft legal documents, represent clients in court, or otherwise engage in the practice of law
• NEPEX coaching does not substitute for a law degree, bar admission, or any other professional qualification
• Students are expected to work with licensed attorneys where legal advice, court filings, or legal representation are required
• Students are responsible for understanding and complying with the laws governing the practice of law in every jurisdiction where they operate

The unauthorized practice of law is a serious matter that can result in civil and criminal penalties. NEPEX does not encourage, condone, or support the unauthorized practice of law by any student. If you have questions about what constitutes the practice of law in your jurisdiction, consult a qualified attorney.

NEPEX coaching and training programs do not guarantee income, recovery of funds, successful claims, clients, business growth, or results of any kind. Your results depend on numerous factors including your effort, skills, market conditions, compliance with applicable law, and business execution.

All program materials — including but not limited to training content, written guides, checklists, scripts, templates, worksheets, videos, recordings, slides, and other resources — are the intellectual property of National Excess Proceeds Exchange and are protected by copyright and other intellectual property laws.

Students are granted a limited, non-exclusive, non-transferable license to use program materials for their personal educational and business purposes. Students may not:

• Reproduce, distribute, share, publish, or sell program materials to third parties
• Create derivative works based on program materials for distribution to others
• Use program materials to create competing training programs or products
• Record coaching sessions without prior written consent
• Share login credentials or program access with others

Violation of these intellectual property terms may result in termination of enrollment and may subject the violator to legal liability.

Coaching sessions may involve discussion of business strategies, methods, and approaches that are proprietary to NEPEX. Students agree not to disclose or share proprietary program information with individuals outside the program. Coaching calls or sessions in which other students participate are confidential — students agree not to share information about other students or their businesses outside the program.

This confidentiality obligation survives the termination or expiration of your enrollment.

NEPEX reserves the right to terminate a student's enrollment for:

• Violation of program rules, policies, or these Coaching Terms
• Unethical, fraudulent, or unprofessional conduct
• Failure to follow compliance requirements or applicable laws
• Behavior that could harm claimants, partners, or the reputation of NEPEX
• Non-payment of program fees
• Harassment of instructors, staff, or other students

Termination is at NEPEX's sole discretion. Upon termination:

• Access to program materials, sessions, and resources will be discontinued
• No refund will be provided for fees already paid, unless otherwise required by the enrollment agreement or applicable law
• The student must cease using all program materials and return or destroy any copies

All coaching and training programs are provided "as is" without warranty of any kind, express or implied. NEPEX disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. NEPEX does not warrant that program content is error-free, complete, or applicable to every situation or jurisdiction.

To the fullest extent permitted by applicable law, NEPEX shall not be liable for any direct, indirect, incidental, consequential, special, or punitive damages arising out of or related to any coaching or training program, regardless of the theory of liability. This limitation includes but is not limited to damages for lost profits, lost business opportunities, business interruption, or any other commercial or financial loss.

In jurisdictions that do not allow certain limitations of liability, NEPEX's liability is limited to the greatest extent permitted by law. In no event shall NEPEX's total liability exceed the amount of fees paid by the student for the specific program giving rise to the claim.
